This agreement describes the terms and conditions for participation in the BookMateStore.com Affiliate Program. BookMateStore.com is owned and operated by Maestro
Financial Corporation, a corporation registered in the State of Texas. In this agreement
and elsewhere, BookMateStore.com and Maestro Financial Corporation are collectively
referred to as BookMateStore.
In this agreement, the term "Affiliate" refers to you (the applicant). Wherever the
agreement refers to "you" or "your", it means "the Affiliate"; "we" or "our" refers to
BookMateStore.
Affiliate ID and Affiliate Site Link
Upon receipt and approval of your BookMateStore Affiliate Enrollment Application, we will
create and supply to you a unique AFFILIATE ID and URL for you to use to refer potential
customers to our website. This URL will be your Unique Affiliate Site Link to BookMateStore.com. We will also supply you with a link to our affiliate resources page
for access to banners, text and product links, and other resources for your use in
promoting our website and product line.
Commissions
You will receive Eight Percent (8%) of the Net Sale Amount as a commission (1st Tier) for
each completed order for which payment is actually received by BookMateStore on
transactions from referrals you made to BookMateStore using your unique Affiliate
Site Link in accordance with all the terms and conditions of this Affiliate
Agreement. You will also receive Two Percent (2%) of the Net Sale Amount as a
commission (2nd Tier) for each completed order for which payment is actually
received by BookMateStore on transactions from referrals made by Affiliates you
referred to our Affiliate Program in accordance with all the terms and conditions
of this Affiliate Agreement. Commissions will only be paid on sales which are
made through your unique Affiliate Site Link and in compliance with all of the
terms and conditions of this Agreement.
Payment
BookMateStore will mail a check to you for the applicable commissions within
approximately 20 days following the end of each calendar month, provided the aggregate
commissions due for payment to you total at least $25.00 USD. If they total less than
$25.00 USD, such commissions will be aggregated until they reach such minimum, and
payment will then be made within approximately 20 days following the end of the calendar
month in which the aggregate total commission payable to you reached such amount. If any
order that generated a referral fee is returned by the customer, or if there are any
returned checks, chargebacks or other adjustments, the corresponding referral fee amount
will be deducted from the next monthly payment. If there is no subsequent payment due
within thirty (30) days, the Affiliate will be invoiced and payment shall be immediately
due and payable to BookMateStore.
Currency & Higher Minimum Commission Payment Amount
All commissions are earned and paid in United States Dollars, regardless of the domicile
of the Affiliate. If conversion of United States Dollars checks is expensive for you, you
may request a higher minimum commission payment amount by notifying us via e-mail,
addressed to , of the specific higher minimum
commission payment amount you wish us to set for your affiliate account.
Sales Tracking & Online statistics
We have implemented third party software on our website to track sales to your referrals
using cookies set to a tracking period of 180 days from the date your referral last visited
our website, and you will be provided information via e-mail following your acceptance into
our Affiliate Program allowing you access to your referral, sales, and commission statistics
online in real time, depending upon current server performance. Generally, sales are posted
within 1-3 minutes of the actual approval of the charge to your referral's credit card, in the
event of real time credit card sales. If your referral pays by check or any method other than
online credit card payment, your account will be credited within 1-2 days following our
receipt of collected payment from your referral. Since your referrals and associated sales
are tracked on our own website, you don't have to worry about any third party having access
to your information, except as you may choose to share your login information to our site's
statistics. We recommend you check your statistics often so you can judge the effectiveness
of your promotional activities.
Order Fulfillment
BookMateStore will be solely responsible for processing every order placed by a customer
on BookMateStore.com. BookMateStore reserves the right to reject any order that does
not comply with our rules, operating procedures, and policies.
Customers
Customers who purchase products and services from BookMateStore will be deemed to be
customers of BookMateStore. Accordingly, all BookMateStore rules, policies, and
operating procedures concerning customer orders and service will apply to those
customers. We may change our policies and operating procedures at any time. Prices
and availability of our products and services also may vary from time to time.
BookMateStore policies will always determine the price paid by the customer.
Qualification for Commissions
Affiliates must have either (1) an active link from their website to BookMateStore.com,
or (2) an active link in their newsletter, e-zine or other electronic or print
publication to BookMateStore.com, in order to qualify for commissions. No commission
will be payable hereunder if such link was not in place at any time during the month for
which a commission would otherwise have been earned.
Non-Qualifying Sites and Causes for Termination
BookMateStore reserves the right not to accept any Affiliate or site
into our Affiliate Program, or to terminate for cause any Affiliate
formerly accepted into our Affiliate Program, based on site content
or any other reason as we may, at our sole discretion, decide from
time to time. Sites and Affiliates that Do Not Qualify for the
BookMateStore Affiliate Program include those which:

promote sexually explicit materials

promote violence

promote discrimination based on race, sex, religion, nationality,
disability, sexual orientation, or age

promote illegal activities
-
violate intellectual property rights
-
participate in mass unsolicited e-mailing (spamming)

make any claim regarding our website, our company, or the products we
sell that are not specifically substantiated by statements or
representations on our website or specifically covered by written
permission from us

engage in any illegal activity
-
be accused by any law enforcement or regulatory agency of engaging in
any illegal activity
-
fail to have an active link on their website or in their print or
electronic publication
-
are primarily search engines or directories
Program Termination
Termination for Cause
In the event of termination for cause, you will be notified by e-mail of the reason for
such termination, and you will not receive any refund or further payment of commissions
pending or to be earned, either from first tier or second tier commissions.
Termination of Affiliate Program Generally
In the event BookMateStore shall generally terminate it's Affiliate Program, you will be
notified by e-mail and all commissions earned to the date of such program termination
will be paid out to you and each other active Affiliate as set forth herein, regardless
of whether you or any other Affiliate has met the "minimum" payment threshold established
herein, and without the deduction of any processing fee.
Termination without cause
In the event BookMateStore shall terminate your Affiliate Status with our program
without cause, we will notify you of such termination by e-mail, and we will pay you as
set forth herein all commissions earned to the date of your termination for first tier
commissions, without the deduction of any processing fee, and we will continue to pay
you your second tier commissions as set forth herein for sales generated by any affiliate
active with our program at the time or your termination.
Affiliate's Voluntary Termination
In the event you elect to voluntarily terminate your Affiliate Status with us, you may
do so by sending our Affiliate Program Manager an e-mail to
specifically stating that you wish to voluntarily
terminate your Affiliate Status and receive any commissions pending to the date of our
receipt of such notice. In that event, a check will be paid to you, whether or not you
have met our minimum payment criteria, less a $25.00 USD processing fee, during the next
following payment cycle as described herein. Upon our receipt of your voluntary
termination request, no further commissions will become payable to you, whether from 1st
tier or 2nd tier referrals.
Relationship of Parties
You and we are independent contractors, and nothing in this Agreement or otherwise
included on this website will create any partnership, joint venture, agency, franchise,
sales representative, or employment relationship between the parties. You will have no
authority to make or accept any offers or representations on our behalf. You will not
make any statement, whether on your site or otherwise, that reasonably would contradict
this statement.
Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of
revenue, profits, or data) arising in connection with this Agreement or the Program,
even if we have been advised of the possibility of such damages. Also, due to the nature
of the technology used to track affiliate referrals, if customers delete their cookies
or otherwise defeat our third party affiliate sales tracking technology, we will not be
able to credit you for any such sales. Further, our aggregate liability arising with
respect to this Agreement and our Affiliate Program will not exceed the total commissions
payable but not yet paid to you under to this Agreement, in accordance with our currently
implemented affiliate sales tracking technology. Your liability to us shall never exceed
any commissions actually received by you from us.
Representations and Certifications
BookMateStore.com certifies that to the best of its knowledge and belief it is operating
entirely within the legal requirements of the State of Texas, the United States of
America, and any other legal jurisdictions in which it operates; the products it sells
are legal; and neither its products nor its sales or promotional methods violate any
pyramid, scam or other laws or governmental regulations.
You certify that to the best of your knowledge and belief you are operating entirely
within the legal requirements of the various legal jurisdictions in which you operate,
and no product you sell or any sales or promotional methods you use violate any
pyramid, scam or other laws.
Your certify that you will never make any representation or claim concerning our company,
our website, or any product sold on our website which is not expressly and explicitly
supported on our website, unless such representation or claim is specifically and
expressly identified as the personal opinion or experience of a third party not
related in any way to us.
You grant us permission to contact you from time to time for the purpose of advising you
of changes in our BookMateStore.com Affiliate Program, or about special offers or changes
on our website. If you wish to "opt-out" of such notifications, simply e-mail us at
with explicit instructions to remove your from each type of
notification you wish to decline.
Disputes and Grievances
In the event of any dispute or grievance arising out of this BookMateStore.com Affiliate
Agreement, you should immediately contact our Affiliate Program Manager, Mr. Alan Lummus,

TX 75287-2758. Our Affiliate Program Manager is solely responsible for resolving any
dispute or grievance that may arise under this Agreement. Your sole remedy if your
dispute or grievance cannot be resolved by contact with our Affiliate Program Manager is
to take legal action as set forth in this Agreement.
Changing & Updating Your Affiliate Account Information
You may change or update your Affiliate Account Information online at
any time. All payments and charges are made according to the
latest information in your account profit, and you agree to receive
payments and charges according to the latest information you
furnished in that profit.
Disclaimers
We make no express or implied warranties or representations with respect to the
BookMateStore Affiliate Program or your potential to earn income from the
BookMateStore
Affiliate Program. In addition, we make no representation that the operation of our website
will be uninterrupted or error-free, and we will not be liable for the consequences of any
interruptions or errors.
We reserve the right to change any or all of the terms and conditions of this Affiliate
Agreement, prospectively and in good faith, at any time and for any reason as we may at
our sole discretion decide; however, we will never alter this Agreement purposely to
avoid paying affiliates due commissions. We will post all changes to this Agreement on
our website and send you an e-mail notification of such changes, addressed to the most
recent e-mail address you registered when you made application for our Affiliate Program,
or such other address as you may appropriately provide to us from time to time. If you
fail to respond within one week to any such e-mail notification of change, you will be
deemed to have agreed to such changes and modifications. If any change or modification
is unacceptable to you, your only recourse is to terminate this Agreement.
Alternatively, your continued participation in our Affiliate Program following our e-mail
notification to you of changes or modifications shall also be deemed conclusive
acceptance of all changes and modifications.
This Agreement will be governed by the laws of the United States and the State of Texas,
without reference to rules governing choice of laws. Any legal action relating to this
Agreement must be brought in the federal or state courts located in Dallas, Texas, and
you irrevocably consent to the jurisdiction of such courts. You may not assign this
Agreement, by operation of law or otherwise, without our prior written consent. Subject
to that restriction, this Agreement will be binding on, inure to the benefit of, and be
enforceable against the parties and their respective successors and assigns. Our failure
to enforce your strict performance of any provision of this Agreement will not constitute
a waiver of our right to subsequently enforce such provision or any other provision of
this Agreement.
By submitting the BookMateStore.com Affiliate Enrollment Application, you acknowledge
that you have read this BookMateStore Affiliate Agreement, have fully understood it,
have had ample opportunity to consult with competent legal and financial counsel of
your choosing, and agree to all its terms and conditions. You have independently
evaluated this program and are not relying on any representation, guarantee or statement
other than as set forth in this agreement.
